Membership Terms and Conditions

1. Definitions

“Elevate Business Network” or “Elevate” refers to the organization, its owners, operators, facilitators, and authorized representatives.

“Member” refers to any individual or business entity accepted into Elevate Business Network.

“Membership” refers to the approved participation of a Member in Elevate programs, meetings, events, platforms, and communications.

2. Membership Application and Acceptance

All applications for Membership are subject to review and approval at the sole discretion of Elevate.

Elevate reserves the right to accept or reject any application without obligation to provide a reason.

Membership availability may be restricted by industry, category, geography, or other criteria determined by Elevate.

Submission of an application does not create any contractual right to Membership.

3. Membership Term

Membership shall commence upon written acceptance by Elevate.

Membership shall continue on a month-to-month or annual basis, as communicated at the time of acceptance.

Elevate reserves the right to modify Membership structure, benefits, or requirements at any time, subject to reasonable notice.

4. Fees and Payment

Membership fees, if applicable, shall be disclosed prior to acceptance.

All fees are due in accordance with the agreed payment schedule.

Fees are non-refundable except where expressly stated in writing.

Failure to remit payment when due may result in suspension or termination of Membership without further notice.

5. Member Conduct and Responsibilities

Members agree to conduct themselves in a professional, ethical, and lawful manner at all Elevate-related activities.

Members shall not engage in conduct that is disruptive, abusive, misleading, discriminatory, or detrimental to the reputation or operation of Elevate.

Elevate reserves the right to determine, in its sole discretion, whether a Member’s conduct violates these standards.

6. Participation and Attendance

Members are expected to make reasonable efforts to attend scheduled meetings and events.

Persistent non-participation or failure to engage may result in Membership review.

Elevate may modify meeting schedules, formats, locations, or delivery methods at its discretion.

7. Referrals and Business Relationships

Elevate does not guarantee referrals, leads, revenue, or business outcomes.

All business transactions between Members occur independently and outside the scope of Elevate.

Elevate is not a party to any agreement between Members and assumes no responsibility for the performance, conduct, or outcomes of such transactions.

8. Confidentiality

Members may receive access to confidential, proprietary, or sensitive information relating to other Members or Elevate.

Members agree to maintain the confidentiality of such information and not to disclose or misuse it for any purpose outside the network.

This obligation survives termination of Membership.

9. Intellectual Property

All Elevate materials, branding, content, and processes remain the exclusive property of Elevate unless otherwise stated.

Members may not reproduce, distribute, or commercialize Elevate materials without prior written consent.

10. Termination of Membership

Members may voluntarily terminate Membership by providing written notice.

Elevate may suspend or terminate Membership at any time for conduct deemed harmful, non-compliant, or inconsistent with network values.

Termination for cause shall not entitle the Member to any refund.

11. Media Release and Recording Consent

Member grants Elevate Business Network the irrevocable right to photograph, record, and capture the Member’s name, likeness, voice, image, and statements during meetings, events, or related activities.

Such recordings may include audio, video, photographs, and digital media in any format.

Member authorizes Elevate to use, reproduce, distribute, display, and publish such media for marketing, promotional, educational, and informational purposes, without compensation.

Member waives any right to inspect or approve finished media and any claims related to privacy, publicity, or defamation arising from such use.

This consent survives termination of Membership.

12. Acknowledgment of Audio and Video Recording

Member acknowledges and agrees that Elevate meetings, events, and virtual sessions may be recorded.

Member understands that participation constitutes consent to being recorded.

Members who do not wish to be recorded are responsible for refraining from participation in recorded sessions or disabling audio and video when applicable.

Elevate is not responsible for third-party recordings made by other Members, though reasonable efforts will be made to discourage unauthorized recording.

13. No Professional Advice; Member Decision-Making Authority

Elevate Business Network provides general guidance, education, discussion, and peer-based recommendations.

Elevate does not provide legal, financial, tax, accounting, investment, or other professional advice.

Any information, suggestions, opinions, or recommendations shared by Elevate, its facilitators, or other Members are provided for general informational purposes only.

Members acknowledge that all business decisions, actions, and outcomes remain solely the responsibility of the Member.

Members agree to independently evaluate and, where appropriate, seek professional advice before making decisions affecting their business.

Elevate shall not be liable for any decisions, actions, or results arising from a Member’s reliance on guidance provided through the network.

14. Limitation of Liability

Elevate shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to Membership or participation in Elevate Business Network.

Elevate’s total aggregate liability shall not exceed the total Membership fees paid by the Member in the twelve months preceding the event giving rise to the claim.

This limitation applies to any claims arising from reliance on any real or perceived guidance, recommendations, or information provided through Elevate Business Network.

15. Indemnification

Members agree to indemnify and hold harmless Elevate from any claims, damages, losses, or expenses arising from their actions, omissions, or business dealings.

16. Modifications to Terms

Elevate reserves the right to amend these Terms and Conditions at any time.

Continued participation following notice of changes constitutes acceptance of the revised terms.

17. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the applicable operating jurisdiction of Elevate Business Network.

18. Entire Agreement

These Terms and Conditions constitute the entire agreement between Elevate and the Member regarding Membership.

If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
